1. Who we are

OfflineLegal.com is operated and sold by UAB Visata, company code 304315676, Sėlių g. 10A-2, LT-08124 Vilnius, Lithuania; e-mail support@offlinelegal.com; phone +370 601 44255.

OfflineLegal.com is legal-document productivity software. It can help draft, summarise, compare, translate, classify, and analyse documents using a local AI model and installed source packs where available. It is not a law firm, lawyer, solicitor, advocate, attorney, notary, tax adviser, accountant, financial adviser, immigration adviser, or other regulated professional service provider.

2. No legal advice

OfflineLegal.com outputs are general informational and productivity materials only. They are not legal advice, legal representation, legal opinions, tax advice, financial advice, accounting advice, immigration advice, or other regulated professional advice. They may help you identify questions, risks, missing clauses, drafting issues, or topics for professional review, but they do not replace advice from a qualified professional licensed in the relevant jurisdiction.

3. No lawyer-client relationship

Using OfflineLegal.com, the website, the installer, the local AI engine, documentation, templates, examples, support materials, or generated output does not create a lawyer-client, fiduciary, advisory, agency, or other professional relationship with UAB Visata or its owners, staff, licensors, or distributors.

4. AI output may be wrong

AI systems can produce incomplete, outdated, inaccurate, inconsistent, biased, or invented results. They can misunderstand facts, OCR text, handwriting, scans, tables, cross-references, governing-law clauses, legal terminology, local practice, deadlines, court rules, regulatory updates, and commercial context. They can also generate plausible wording that is unenforceable, unsuitable, misleading, or harmful in a particular jurisdiction.

5. You must verify everything

You are responsible for checking source document text, OCR accuracy, names, parties, dates, numbers, citations, governing law, jurisdiction, deadlines, filing rules, translations, summaries, redlines, suggested wording, risk scores, and exported reports before relying on any output. Where the software marks content as source-backed, that means only that an installed source pack or authority reference was used. It does not mean the output is legally complete, current, binding, lawyer-approved, or suitable for your matter.

6. Professional review required

Important matters, court filings, statutory deadlines, regulated notices, employment decisions, consumer notices, immigration matters, tax matters, criminal matters, family-law matters, real-estate transfers, corporate transactions, and high-value or high-risk decisions should be reviewed by a qualified lawyer or other appropriate professional.

7. Unauthorised practice of law

OfflineLegal.com is designed to assist with document review and drafting, not to practise law or provide regulated professional services. It does not choose a legal strategy for you, represent you, negotiate for you, file documents for you, appear in proceedings, guarantee compliance, or make final legal decisions. Different jurisdictions define the unauthorised practice of law and regulated advice differently. Do not use the software in a way that would require a licence, authorisation, court admission, or client engagement that you do not have.

8. Local processing and privacy

Document parsing, OCR, analysis, drafting, comparison, chat, exports, and the AI engine run on your device when the installed desktop app and local model package are used. Local processing reduces cloud-transfer risk, but it does not remove your own privacy, confidentiality, security, or legal obligations. Ordering, activation, payment, first-run downloads and the daily law-pack check involve limited online processing, described in the Privacy Policy.

9. Limitation of liability

To the extent the law allows, the software and its outputs are provided without any promise that they are complete, current, enforceable, error-free, accepted by any court or authority, or suitable for a particular legal matter; your statutory rights as a consumer for digital content that does not work as described are not affected.

Our total liability for all claims connected with OfflineLegal.com is limited to the amount you paid us for OfflineLegal.com in the 12 months before the event that gave rise to the claim. This is the same single limit as in section 17 of the Terms of Service. We are not liable for losses that were not foreseeable when the contract was made, and towards business customers we are not liable for indirect or consequential losses, lost profits, lost data, business interruption, legal outcomes, missed deadlines, rejected filings, penalties, or sanctions. These limits do not apply to liability for death or personal injury, for intentional misconduct or gross negligence, for fraud, or to any other liability that the law does not allow to be limited — including your mandatory rights as a consumer.

10. Indemnity (business customers only)

If you use OfflineLegal.com for business purposes, you agree to compensate UAB Visata for third-party claims, damages, and reasonable legal costs caused by your unlawful use of the software or its output, the documents you upload, generate, distribute, file, or rely on, or your infringement of a third party's rights. This does not apply to the extent a claim is caused by our own fault. This section does not apply to consumers.

11. Governing law

This Disclaimer is governed by the law of the Republic of Lithuania. If you are a consumer living in another country, you also keep the protection of the mandatory rules of the law of your country of residence.

12. Consumer rights

Nothing in this Disclaimer, the Terms, or the Refund Policy excludes mandatory consumer rights that cannot legally be waived. EU/EEA consumers keep their rights of withdrawal (as described in the Refund Policy) and their rights to conformity, repair, price reduction and ending the contract for digital content. The Privacy Policy describes your data protection rights and the right to complain to a supervisory authority.
